1. HEADER AND ACCEPTANCE

1.1 Who We Are

These Terms and Conditions ("Terms") are provided by SUMMUS WORLD LLC, a company incorporated under the laws of the State of Wyoming, United States of America, provider of the automated trading software "GoFrank" ("Software" or "Platform").

1.2 Applicability of Terms

These Terms apply to all users who access, download, install, or use the GoFrank Software made available through the platform network.summus.life (the "Site"). Use of the Software is subject exclusively to these Terms. If you do not fully accept these Terms, you are not authorized to use the Software and must immediately cease all access.

1.3 Binding Acceptance

By accepting these Terms, you:

• Acknowledge and fully accept all Terms contained in this document;
• Declare that you are at least 18 years old and possess the legal capacity to enter into binding contracts;
• Declare that you are acting on your own behalf and are not a legal entity or authorized financial institution;
• Understand that the Software is a technological tool and is NOT financial advice or brokerage service;
• Fully accept all risks associated with trading in financial markets;
• Acknowledge that continued use constitutes acceptance of any future modifications to these Terms.

Acceptance may occur through:

• Explicit Acceptance: By clicking "I Accept the Terms and Conditions" during registration;
• Implicit Acceptance: By downloading, installing, accessing, or using the Software.

Both forms are legally binding and irrevocable.

1.4 Entire Agreement

These Terms constitute the entire agreement between you and SUMMUS WORLD LLC regarding the Software and supersede any prior agreement, written or verbal. In case of conflict between verbal communications and these Terms, the written Terms prevail.

1.5 Language

These Terms are provided in Italian, English, and Spanish. In case of conflict, the English version prevails, except for EU users for whom the version in their country's language has equal legal authority.

2. KEY DEFINITIONS

2.1 Software / Platform

"Software", "Platform" or "GoFrank" refers to the locally installable automated trading software that uses a proprietary algorithm to automatically execute trading strategies on the S&P 500 market through connection to partner broker APIs. The Software is NOT a broker, brokerage platform, or capital custody service.

2.2 User / Customer

An individual who has accepted these Terms and uses the Software. The user must be at least 18 years old and have the legal capacity to enter into contracts.

2.3 Subscription Plans

The Software is available in two plans with monthly recurring payment:

• Standard ($3,000): $77 USD per month. Nominal Capital of $3,000.
• Pro ($9,000): $227 USD per month. Nominal Capital of $9,000.

Renewal is automatic the day following expiration, unless the user explicitly cancels the subscription.

2.4 Nominal Capital vs. Real Capital

Nominal Capital: Reference amount used by the Software to calculate position size, risk, and trading management. Determined by the Subscription Plan ($3,000 or $9,000) and remains fixed.

Real Capital: Amount actually deposited by the user in the broker account. May be higher, lower, or equal to Nominal Capital.

The Software operates exclusively based on Nominal Capital, NOT Real Capital.

2.5 Partner Brokers

Third-party online brokers officially supported for integration:

• Interactive Brokers
• IG (IG Markets / IG.com)

The Software does NOT support other brokers. SUMMUS WORLD LLC is not responsible for the quality, availability, commissions, or services of Partner Brokers, which are independent entities.

2.6 API Keys

Authentication credentials provided by the Partner Broker that allow the Software to connect to the Broker Account and execute automatic operations. The user is solely responsible for generating, safeguarding, protecting, and revoking their API Keys.

2.7 Proprietary Algorithm

Computerized system, mathematical models, and trading rules developed by SUMMUS WORLD LLC and integrated into the Software. The algorithm is:

• Undisclosed and exclusive property of SUMMUS WORLD LLC
• Identical for all users of the same Plan
• Not customizable or modifiable by the user
• Protected by copyright and intellectual property
• Based on historical backtests on S&P 500 data from the last 5 years

2.8 Other Key Terms

Backtest: Historical performance tests of the algorithm on past data. For informational purposes only, NOT guarantees of future performance.

Stop Loss: Permanently active automatic protection order that closes a position if the loss reaches a predetermined level. Does not guarantee that losses cannot exceed the level in case of extreme volatility, price gaps, or slippage.

Multi-Day Trading: The Software maintains positions open for multiple consecutive days. It is NOT a High-Frequency Trading (HFT) system.

Long and Short Trading: The Software executes both upward (Long) and downward (Short) operations according to algorithm signals.

30-Day Money-Back Guarantee: User's right to request full refund within 30 days of purchase (details in Section 7).

Non-Custodial: SUMMUS WORLD LLC does NOT custody, manage, or have access to user funds. Capital remains with the Partner Broker.

3. ELIGIBILITY AND GEOGRAPHIC RESTRICTIONS

3.1 Eligibility Requirements

To use the Software, the user must:

• Be at least 18 years old (or age of majority in their country);
• Have legal capacity to enter into contracts;
• Act as an individual person, not as a commercial entity or financial institution;
• Have a real trading account with Interactive Brokers or IG;
• Reside in a jurisdiction where automated trading software is legal;
• NOT be subject to international sanctions (OFAC, EU, UN);
• Provide accurate and truthful registration information;
• Have reliable internet connection and compatible computer;
• NOT have violated these Terms in the past.

SUMMUS WORLD LLC reserves the right to verify these requirements at any time.

3.2 Prohibited Countries and International Sanctions

Use of the Software is explicitly prohibited for users residing in the following countries/territories subject to OFAC (Office of Foreign Assets Control, USA) sanctions and equivalent EU, UN, UK, Canada, Australia sanctions:

• Cuba
• Iran
• North Korea
• Syria
• Crimea and Russian regions under sanctions
• Belarus (if currently sanctioned)
• Any country/territory on the updated OFAC list (www.treasury.gov/ofac) or equivalent lists

3.3 User Responsibility and Compliance Declaration

By downloading and using the Software, the user declares and warrants under their criminal and civil responsibility that:

• They do not physically reside nor are they a citizen of any of the prohibited countries;
• They do not act on behalf of entities, persons, or organizations resident or controlled by prohibited countries;
• They are NOT subject to personal sanctions or on the OFAC SDN (Specially Designated Nationals) list;
• Billing address, IP address, and residence are in legal jurisdictions;
• Their country legally allows the use of automated trading software;
• They have conducted diligent verification of compliance with these restrictions.

The user is solely responsible for verifying compliance with local laws. SUMMUS WORLD LLC does not provide legal advice and is not responsible for violations of local laws by the user.

3.4 Compliance Verification and Consequences

SUMMUS WORLD LLC will conduct periodic verifications based on: IP geolocation, email address, billing address, updated OFAC/EU/UN lists, and other available sources.

In case of detection of non-compliance, SUMMUS WORLD LLC may:

• Suspend the account immediately without notice;
• Terminate the subscription permanently;
• Refuse any refund, including the 30-day guarantee;
• Report unauthorized access to competent authorities (OFAC, FinCEN, FCA, ESMA);
• Take legal action against the user.

The user remains solely responsible for all legal, civil, criminal, and financial consequences arising from violations, including government sanctions, fines, and asset seizures.

3.5 Limitation of Liability and Waiver

Although SUMMUS WORLD LLC implements reasonable controls, the company does not guarantee intercepting all access from prohibited countries (e.g., use of VPN, proxy, data falsification). In such cases, the user remains fully responsible for legal consequences.

The user waives any objection based on jurisdiction or territorial applicability and accepts that SUMMUS WORLD LLC may enforce these Terms according to U.S. federal laws, regardless of the user's country of residence.

4. SERVICE DESCRIPTION

4.1 Nature of the Software

GoFrank is trading automation software that:

• Installs locally on the user's computer
• Connects via API to the user's broker account (Interactive Brokers or IG)
• Automatically executes trading operations on S&P 500 according to proprietary algorithm
• Operates 24/7 when the market is open, without manual user intervention

The Software is NOT:

• Financial or investment advice
• Wealth management service
• Brokerage platform or fund custody
• Guarantee of profits or specific results

4.2 Operation and Features

The Software:

• Operates exclusively on S&P 500 market (US stocks, indices, ETFs)
• Calculates position size, risk, and leverage based on Nominal Capital
• Maintains positions open for multiple days (multi-day trading)
• Executes Long and Short operations automatically
• Includes permanently active Stop Loss (not disableable)
• Uses Stop & Reverse functionality when appropriate
• Is NOT a High-Frequency Trading (HFT) system

4.3 Technical Requirements and User Responsibility

The user is responsible for:

• Having compatible computer and supported operating system
• Maintaining stable and reliable internet connection
• Safeguarding and protecting their broker's API Keys
• Monitoring their broker account and open positions
• Maintaining sufficient capital in broker account to avoid margin calls
• Understanding the risks of automated trading and financial leverage

SUMMUS WORLD LLC is not responsible for:

• Internet interruptions or user's computer downtime
• Hardware or software malfunctions of user's computer
• Technical problems or downtime of Partner Brokers
• Configuration errors of API Keys or broker account
• Losses arising from insufficient capital or margin calls

4.4 Backtests and Past Performance

Historical backtests available on the Site are for informational purposes only. They show how the algorithm would have performed on past data but:

• Are NOT guarantees of future performance
• Past results do NOT predict future results
• Market conditions continuously change
• Real slippage, spreads, broker commissions may differ from backtests
• Real performance may vary significantly

4.5 Not Financial Advice

The Software is exclusively a technological automation tool. SUMMUS WORLD LLC:

• Does NOT provide financial, tax, or legal advice
• Does NOT recommend specific investments or strategies
• Does NOT guarantee profits or specific results
• Does NOT analyze the user's personal financial situation

The user is responsible for consulting their own professional advisors before using the Software.

4.6 Service Availability

SUMMUS WORLD LLC strives to maintain the Software operational but does not guarantee:

• Uninterrupted 24/7 availability
• Absence of bugs, errors, or malfunctions
• Compatibility with all operating systems or configurations
• Operation during scheduled maintenance or emergencies

SUMMUS WORLD LLC reserves the right to modify, suspend, or terminate Software features without notice.

5. FINANCIAL RISK DISCLAIMER

By accepting these Terms, the user expressly acknowledges understanding and accepting the following risks:

5.2 Risk of Total Capital Loss

• All trading operations involve risk of loss
• Losses may equal or exceed deposited capital
• Stop Loss does NOT guarantee limitation of losses in case of price gaps, extreme volatility, or market closures
• Use of financial leverage amplifies both profits and losses
• There is no guarantee of profit or capital protection

5.3 Market and Volatility Risks

• Financial markets are unpredictable and subject to extreme volatility
• Geopolitical, economic, or financial events can cause sudden movements
• Price gaps at market opening can cause significant slippage
• Market conditions can change rapidly and render the algorithm ineffective
• Financial crises, recessions, or black swan events can cause catastrophic losses

5.4 Technical and Operational Risks

• Internet interruptions can prevent the Software from executing operations or closing positions
• Computer malfunctions can cause errors or losses
• Downtime or technical problems of Partner Brokers can prevent order execution
• Bugs or errors in the Software can cause unintended operations or losses
• Execution delays can cause slippage and reduce profits or increase losses

5.5 Proprietary Algorithm Risks

• The algorithm is based on mathematical models that may not adapt to future market conditions
• There is no guarantee that the algorithm will continue to perform as in backtests
• The algorithm is NOT customized for the user's individual financial situation
• The user cannot modify or disable algorithm components (e.g., Stop Loss)
• Past algorithm performance does not guarantee future performance

5.6 Legal and Regulatory Risks

• The user is responsible for verifying compliance with local laws
• Regulatory changes may make use of the Software illegal in their country
• The user is responsible for declaring profits and paying taxes according to local laws
• Regulatory violations may result in sanctions, fines, or legal action

5.7 Partner Broker Risks

• Interactive Brokers and IG are independent third-party entities
• SUMMUS WORLD LLC does not control nor is responsible for actions, downtime, commissions, or broker policies
• Financial problems or broker bankruptcy may cause loss of deposited funds
• Changes in broker terms of service may render the Software incompatible

5.8 Confirmation of Understanding and Acceptance

By using the Software, the user confirms:

• Having read and understood all risks listed above
• Being willing and able to bear the total loss of invested capital
• Not relying on guarantees, promises, or representations not contained in these Terms
• Accepting full and unconditional responsibility for all financial consequences

6. LICENSES AND SUBSCRIPTION PLANS

6.1 License Grant

SUMMUS WORLD LLC grants the user a non-exclusive, non-transferable, revocable, and limited license to install and use the Software exclusively for personal use. The license is valid only during the active subscription period.

6.2 License Restrictions

The user may NOT:

• Assign, sell, rent, or sublicense the Software
• Decompile, decode, or reverse engineer the Software
• Modify, alter, or create derivative works of the Software
• Remove copyright, trademark, or proprietary notices
• Use the Software on behalf of third parties or as a commercial service
• Install the Software on more computers than allowed by the plan

6.3 Pricing and Payments

Standard ($3,000): $77 USD per month
Pro ($9,000): $227 USD per month

Payments are processed through Stripe. The user authorizes SUMMUS WORLD LLC to charge the registered payment method monthly until subscription cancellation.

6.4 Automatic Renewal

The subscription automatically renews every month on the expiration date. Renewal occurs without further consent or notification. The user is responsible for canceling the subscription before the renewal date if they do not wish to continue.

6.5 Cancellation and Refunds

The user may cancel the subscription at any time through the control panel on network.summus.life. Cancellation:

• Takes effect at the end of the current subscription period
• Does NOT entitle proportional refunds for the remaining period
• Immediately revokes access to the Software upon expiration

Exception: 30-Day Money-Back Guarantee (see Section 7).

6.6 Price Modifications

SUMMUS WORLD LLC reserves the right to modify prices at any time. Price modifications:

• For future subscriptions: take effect at next renewal with 30-day notice
• For current subscriptions: may be applied during active period with email notification; continued use constitutes acceptance

No refunds will be provided for price increases.

7. 30-DAY MONEY-BACK GUARANTEE

7.1 Guarantee

SUMMUS WORLD LLC offers a 30-Day Money-Back Guarantee (100% refund) for users dissatisfied with the Software within 30 calendar days from the initial purchase date.

7.2 Refund Procedure

To request a refund, the user must:

• Access the reserved area on network.summus.life
• Click the "Request 30-Day Refund" button
• Confirm the request

No additional forms or explanations are required. The refund will be processed through Stripe within 5-7 business days.

7.3 Exclusions from Guarantee

The guarantee does NOT apply if:

• More than 30 calendar days have passed since the first purchase
• The user has violated these Terms
• The user resides in a prohibited country (Section 3)
• The user has already benefited from a refund in the past
• The account has been suspended or terminated for violations

7.4 No Performance Guarantee

Refund is NOT available for:

• Trading losses or lost capital
• Algorithm performance below expectations
• Lack of profits or negative financial results
• Dissatisfaction with backtests or historical results

7.5 Limitation to One Refund per User

Each user is entitled to ONE refund in the history of their Software use. If a user requests and obtains a refund, they cannot benefit from the guarantee again in the future, even when subscribing to new subscriptions.

7.6 Response Times

After the refund request, support will respond within 48 business hours to confirm processing. Credit times to the payment method depend on Stripe and the user's bank.

8. INTELLECTUAL PROPERTY

8.1 Exclusive Ownership

All Software, including proprietary algorithm, source code, user interface, documentation, logo, trademark, and related materials, are the exclusive property of SUMMUS WORLD LLC and protected by copyright, patents, and intellectual property laws of the USA and international.

8.2 Limited License

The license granted to the user (Section 6.1) does NOT transfer any intellectual property rights. The user receives only a limited and revocable right of use.

8.3 Prohibitions

The user may NOT:

• Copy, reproduce, or distribute the Software or its components
• Use the brand, logo, or trademark of SUMMUS WORLD LLC or GoFrank without written authorization
• Create derivative or competitive products based on the Software
• Violate patents, copyrights, or other intellectual property rights

Violations may result in immediate account termination and legal action.

9. LIMITATIONS OF LIABILITY

9.1 Maximum Limitation of Liability

9.2 Exclusion of Trading Losses

SUMMUS WORLD LLC is NOT responsible for:

• Trading losses, capital loss, or total loss of broker account
• Algorithm performance below expectations
• Negative financial results or lack of profits
• Slippage, spreads, broker commissions, or trading costs
• Margin calls, forced liquidations, or position closures

9.3 Exclusion of Technical Problems

SUMMUS WORLD LLC is NOT responsible for losses arising from:

• Internet interruptions, downtime, or unstable user connectivity
• Hardware or software malfunctions of user's computer
• Bugs, errors, or Software malfunctions
• Downtime, technical problems, or Partner Broker policies
• Theft, compromise, or unauthorized use of API Keys

9.4 Exclusion of Force Majeure Events

SUMMUS WORLD LLC is NOT responsible for events beyond its reasonable control, including:

• Natural disasters, wars, pandemics, terrorism
• Power, internet, or critical infrastructure interruptions
• Regulatory changes, laws, or government regulations
• Actions or omissions of third parties (brokers, service providers)
• Cyber attacks, hacking, or security breaches not dependent on gross negligence

9.5 Exclusion of Indirect Damages

SUMMUS WORLD LLC is NOT responsible for indirect, consequential, special, incidental, punitive, or moral damages, including:

• Loss of opportunity or future profits
• Reputational damage or emotional stress
• Loss of data or information
• Replacement costs or alternative services

9.6 No Warranty "As Is"

The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including:

• Warranties of merchantability or fitness for specific purpose
• Warranties of uninterrupted or error-free availability
• Warranties of financial results or specific performance
• Warranties of security or absence of vulnerabilities

10. SUPPORT AND SERVICES

10.1 Dedicated Support

SUMMUS WORLD LLC provides technical support to users through:

• 1-to-1 Meetings: By appointment through platform

Support available in Italian, English, and Spanish.

10.2 Community

Users have access to the GoFrank online Community where they can:

• Share experiences and strategies
• Ask questions to other users and representatives
• Receive updates and announcements

Access to the Community is included in the subscription.

10.3 Response Times

Support strives to respond within 48 business hours. However, response times are not guaranteed and may vary based on request volume. For formal disputes or legal claims, times may extend up to 60 days (see Section 15).

10.4 Support Limitations

Support does NOT provide:

• Financial, tax, or legal advice
• Recommendations on specific trading strategies
• Guarantees of resolving user's computer technical problems
• Support for Partner Broker problems (contact the broker directly)

10.5 Service Modifications

SUMMUS WORLD LLC reserves the right to modify, reduce, or eliminate support services without notice.

11. DATA COLLECTION AND PROTECTION

11.1 Data Collected

SUMMUS WORLD LLC collects the following personal data:

• First name, last name, email address
• Payment information (processed through Stripe, not stored by SUMMUS WORLD LLC)
• IP address, geolocation, browser, and device
• Software usage data (logs, statistics, behavior)

11.2 Processing Purposes

Data is used to:

• Provide access to the Software and related services
• Process payments and manage subscriptions
• Support communications and assistance
• Geographic and regulatory compliance verification (OFAC, sanctions)
• Software improvement and statistical analysis
• Marketing and promotional communications (with opt-out option)

11.3 Legal Basis and GDPR

For EU users, SUMMUS WORLD LLC acts as data controller under GDPR. Data is processed only with valid legal basis:

• Contract execution
• Legal compliance (e.g., OFAC verification)
• Legitimate interests of the company

EU users have specific GDPR rights: access, correction, deletion ("right to be forgotten"), portability, objection, and processing limitation. SUMMUS WORLD LLC will respond to requests within 30 days.

11.4 Third-Party Sharing

Data may be shared with:

• GoHighLevel (server storage)
• Stripe (payment processing)
• Partner Brokers (compliance verification, if necessary)
• Government and compliance authorities (if required by law or sanctions)

SUMMUS WORLD LLC does NOT sell identifiable personal data to third parties. It may sell or share aggregated and anonymized data.

11.5 Data Security

SUMMUS WORLD LLC implements reasonable security measures:

• HTTPS/TLS encryption for data in transit
• Encryption of data at rest
• Firewalls and intrusion detection systems
• Limited access controls

However, no system is infallible. SUMMUS WORLD LLC does not guarantee absolute security against hacking, breaches, or data loss.

11.6 Retention and Deletion

Data is retained for:

• Duration of active account
• Up to 7 years after cancellation (for tax and legal compliance)

The user may request complete deletion ("right to be forgotten") by sending a request to [email protected]. SUMMUS WORLD LLC will delete data within 30 days, except for legal retention obligations. Anonymized data may be retained indefinitely.

11.7 Cookies and Tracking

The Site network.summus.life uses:

• Cookies for login sessions
• Analytics cookies for user behavior
• Tracking pixels and web beacons
• Browser local storage

The user can disable cookies through browser settings, but some features may be limited.

11.8 Marketing and Opt-Out

SUMMUS WORLD LLC may send marketing communications via email (newsletters, updates, offers). Subscription is not mandatory. The user can unsubscribe at any time by clicking "Unsubscribe" in emails.

12. MODIFICATIONS TO TERMS

12.1 Right of Unilateral Modification

SUMMUS WORLD LLC reserves the exclusive right to modify, update, or revise these Terms at any time, at its discretion, without requiring user consent.

Modifications may concern any aspect, including: limitations of liability, disclaimers, geographic restrictions, refund policies, pricing, rights and responsibilities.

12.2 Notification and Entry into Force

Modifications will enter into force:

• Immediately: For critical modifications (regulatory compliance, sanctions, security, fraud)
• Within 30 days of notification: For other substantial modifications (notification via email or on the Site)
• Without notification: For minor corrections, typos, or non-substantial clarifications

12.3 Implicit Acceptance

Continued use of the Software after entry into force constitutes full and unconditional acceptance of modifications. No new subscription or explicit consent is required.

12.4 No Right of Refusal

The user may NOT refuse modifications. The options are:

• Accept the modified Terms and continue using the Software
• Cancel the account and cease use

Voluntary cancellation due to modifications does NOT entitle refunds.

12.5 Retention of Copies

It is the user's responsibility to retain copies of Terms applicable at the time of purchase. SUMMUS WORLD LLC is not responsible for retrieving previous versions.

13. ACCOUNT TERMINATION

13.1 Voluntary Termination by User

The user may terminate the subscription and cancel the account at any time through:

• Email to [email protected]

Termination takes effect immediately or at the end of the current subscription period. No proportional refunds are provided (exception: 30-Day Guarantee).

13.2 Termination by SUMMUS WORLD LLC

SUMMUS WORLD LLC may suspend or terminate the account immediately and without notice in case of:

• Violation of these Terms
• Non-compliance with geographic restrictions (prohibited countries)
• Fraudulent, illegal, or abusive activity
• Non-payment or charge dispute
• Use of Software for unauthorized commercial purposes
• Harmful behavior toward the Community or support

Termination for violations entails:

• Immediate loss of access to the Software
• No refund, including 30-Day Guarantee
• Obligation to uninstall the Software and revoke API Keys

13.3 Effects of Termination

Upon termination:

• Access to the Software is immediately revoked
• The license expires
• The user must uninstall the Software and revoke API Keys from the broker
• Personal data is retained according to retention policies (Section 11.6)
• Sections that by nature survive (limitations of liability, dispute resolution, intellectual property) remain in force

14. REGULATORY COMPLIANCE

14.1 Not a Regulated Financial Service

SUMMUS WORLD LLC is a technology software provider and is NOT:

• A registered financial advisor
• A broker-dealer or brokerage platform
• A wealth manager or investment fund
• Subject to MiFID II, FCA, SEC, FINRA, ESMA regulation or equivalent authorities

The Software does NOT provide financial advice, investment services, or regulated wealth management.

14.2 User Responsibility for Local Compliance

The user is solely responsible for:

• Verifying whether use of the Software is legal in their country
• Consulting qualified legal advisors for local compliance
• Complying with laws on financial services, automated trading, banking regulations
• Declaring profits and paying taxes according to local tax laws
• Obtaining any licenses or authorizations required by their country

SUMMUS WORLD LLC does not provide legal or tax advice and is not responsible for regulatory violations by the user.

14.3 Compliance with International Sanctions

SUMMUS WORLD LLC is committed to complying with OFAC, EU, UN, and international sanctions. The user is responsible for verifying they are not subject to sanctions and complying with Section 3 restrictions.

14.4 Anti-Money Laundering (AML) and Know Your Customer (KYC)

SUMMUS WORLD LLC reserves the right to request identity documentation and KYC/AML verification in compliance with international regulations. The user must cooperate with such requests. Refusal may result in account suspension or termination.

15. DISPUTE RESOLUTION

15.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States of America and U.S. federal laws, without regard to conflicts of laws.

15.2 Mandatory Binding Arbitration

Any dispute arising from these Terms, use of the Software, or relationship with SUMMUS WORLD LLC shall be resolved through mandatory binding individual arbitration, NOT in court.

Arbitration shall be conducted according to the rules of the American Arbitration Association (AAA) in Sheridan, Wyoming, USA.

15.3 Class Action Waiver

The user expressly waives the right to:

• Participate in class actions or collective actions
• Consolidate claims with other users
• Act as a representative in group disputes

All disputes must be resolved individually.

15.4 Jury Trial Waiver

The user waives the right to jury trial or to bring lawsuits in civil courts, except for disputes related to intellectual property violations.

15.5 Time Limitations

Any legal action or arbitration must be initiated within 2 years from the occurrence of the fact giving rise to the dispute. After such period, every claim is permanently barred.

15.6 Pre-Arbitration Claim Procedure

Before initiating arbitration, the user must:

• Send written claim to [email protected]
• Describe in detail the problem and requested remedy
• Await response from SUMMUS WORLD LLC (usually within 60 days)

Only if the pre-arbitration claim does not resolve the dispute may the user initiate arbitration.

15.7 Arbitration Costs

Arbitration expenses (AAA, arbitrator) are divided according to AAA rules. Each party bears its own legal and representation costs.

16. MISCELLANEOUS CLAUSES

16.1 Severability

If any clause of these Terms is deemed invalid, illegal, or unenforceable by a court or arbitrator, the remaining clauses remain fully in force.

16.2 No Waiver

Failure or delay in exercising a right by SUMMUS WORLD LLC does not constitute waiver of that right. Any waiver must be written and explicit.

16.3 Entire Understanding

These Terms constitute the entire agreement between the user and SUMMUS WORLD LLC and supersede any prior agreement, written or verbal.

16.4 Assignment

The user may NOT assign or transfer these Terms or their rights without written consent from SUMMUS WORLD LLC. SUMMUS WORLD LLC may freely assign these Terms to affiliates, successors, or purchasers.

16.5 Survival

Sections that by nature must survive termination (limitations of liability, dispute resolution, intellectual property, confidentiality) remain in force even after account termination.

16.6 Force Majeure

SUMMUS WORLD LLC is not responsible for non-performance or delays caused by force majeure events beyond its reasonable control.
